General Terms of Service (Terms) and Data Privacy Policy

1. Parties and Contacts
1.1 “We” - ChiniWoods Zzp - individual entrepreneur Pavel Chinilin, registered and operating (providing Services) in/from the Netherlands(s). Registration number at the Netherlands Chamber of Commerce KVK 74107410.
1.2 “You” - a natural or legal person who applied to us for Services (Potential client) and/or agreeing to provide our Services after agreement Offer (Customer).
1.3. Our contacts: Our current address (Studio address), contact details, opening hours, vacation schedule, the current version of these Terms, promotional materials and a catalog of services are listed on our website www.ChiniWoods.com and/or social networks: Instagram Facebook. The legal address may differ from the contact address, but it is always correctly indicated in KVK. We strive to respond to messages and inquiries as quickly as is reasonably possible for the sole proprietor. Messages and requests of Clients are processed in priority. Responding and handling requests from Potential Clients may take several days outside the holiday schedule.
We also use trademarks for identification: Paul’s Meubelatelier; Paul’s meubelatelier “Chini Woods”; 4P Team.


2. Acceptance of these Terms
When contacting us for a consultation or service through Our contacts, by visiting our websites and social networks, as well as agreeing to our Offer, on or after the date of publication of these Terms, you agree to irrevocably and unconditionally accept these Terms.
We do not enter into separate Agreements for the provision of the Services, except in situations where it is absolutely necessary. Instead of Agreement, we apply these Terms.

3. Services
3.1 We provide the following Main Services:
a) Production of furniture, furniture elements (doors, facades, shelves, etc.) and other household products of wood or wood-based materials (from Finished Materials) on individual sizes and projects, including projects of third parties (Designers);
b) Assembly and dismantling furniture not made by us (for example, from IKEA);
c) Minor repairs (not restoration) of furniture and wooden products and other
carpentry services on request.

3.2 “Production ” (3.1.a) includes:
a) Initial consultations with you - one visit to the place of future assembly plus
discussion of details up to 3 working hours in total;
b) Creation (drawing) of the project and its coordination with you - up to 12 working
hours in total;
c) Removal and specification of dimensions, ordering materials and their delivery to
our Studio;
d) Sawing, drilling and joining parts in our studio or at the assembly site (except for
creating complex joints),
e) Final assembly;
f) Light cleaning after assembly and disposal of a small amount of industrial
construction debris after sawing and / or assembly.

3.3 In addition to the Core Services, we provide the following as required: Related
services:
a) Additional Advice (design, drawing and its subsequent changes and clarifications, selection of materials, consultations with your designer at your request, etc.) in excess of the limits specified in paragraph 3.2, including additional meetings with you and a visit to the assembly site, with the exception of cases when such meetings and visits are necessary for us (for example, to remove or clarify the dimensions - 3.2.c) and initiated by us.
b) Finishing Processing work in progress (sanding, painting, varnishing, etc.) or Creation of complex connections.
c) Delivery to the place of assembly;
d) Disposal of a large amount of industrial and construction waste after the
provision of Essential Services (except in clause 3.2.f), which may require us to
arrange for the services of third parties or carriers;
e) Major cleaning after to provide Core Services, which may require us to arrange
for third party services.

4. Offer and Commitment
4.1. We provide all Services on a purely commercial basis.
4.2 Following Initial Consultations with you (3.2.a) or based on your request for the Services (3.1.b or 3.1.c), we may, in our sole discretion, provide you with an Offer (in writing) or refuse to provide the Services to you.
4.3 Offer includes:
a) Preliminary assessment of the cost of materials on the date of the Offer;
b) Preliminary cost estimate for each Main Service with a brief individual description
in accordance with clauses 3.1 and 4.12
c) A preliminary estimate of the cost of each Related Service with a brief individual description in accordance with clauses 3.3 and 4.13, indicating whether this service is optional or necessary to complete your entire project.
d) Optional - drafts, sketches and preliminary drawings;
e) If possible - samples of materials or links to them.
f) Tentative dates (period) of start provision of the Services.
g) Minimum prepayment amount, in accordance with paragraph 4.7 and details
for payment.

4.4 The Offer is valid for 14 calendar days, unless otherwise specified in the Offer.

4.5 Acceptance of the Offer is a Prepayment of Services (item 4.7) during the term of the Offer - clause 4.4.

4.6 Commitment. If you are not completely sure about the Offer or wish to clarify / change the Offer, or ask for an alternative Offer, we reserve the right to make such clarifications and changes after you have made the Commitment installment, in the amount determined by us, approximately in the amount from 100 euros to 10 % of the amount of the first Offer. To do this, we can provide you with a Commitment Invoice. Commitment not refundable in case of your withdrawal from the project, but will be credited against the partial prepayment in case of Acceptance of the Offer.

4.7 Prepayment of Services. Our Services must be fully or partially prepaid - depending on the individual agreement with you or at the rate of Minimum prepayment amount: cost of materials plus one third of the expected value of our Services; or another Minimum prepayment amount specified in Offers.

4.8 Minimum prepayment amount is a non-refundable advance under any circumstances, with the exception of clause 4.9. In some cases (if it is impossible to provide or complete the provision of the Services agreed with you for any reason), when it is possible and does not incur significant additional costs, partial compensation of the prepayment made is possible in the form of transferring the purchased materials and / or their remains to you, if the materials are already sawn for your project. Illness and physical inability to provide the Service in circumstances of force majeure are also included in this paragraph, as a circumstance for the impossibility of full reimbursement of the prepayment.

4.9 Clause 4.8 does not apply to situations where we have not provided the Service you prepaid for exclusively according to our fault. In such a situation, we will be required to return the entire prepayment within a reasonable time, however, the amount already sent by us to suppliers for materials may be returned to you by materials.

4.10 Compensation. Paid by you Amount exceeding Minimum prepayment amount is subject to return (compensation) in the event that we did not provide within the time
period agreed with you (clause 5.3) the Services agreed with you due to circumstances and reasons in full dependent on us (without good reason or without force majeure). If we did not provide, within the time period agreed with you (clause 5.3), the Services agreed with you, due to circumstances and reasons, are not fully dependent on us, the amount of compensation (the portion of the amount exceeding the Minimum Upfront Amount) will be the subject of a separate negotiation with you, which will determine the extent of our fault in impossibility to provide service.

4.11 Any refund can only be paid to you and not to any third party.

4.12 Price of Main Services is calculated individually depending on the complexity of the project and the remoteness and features of the assembly site.
Solely for the purposes of the example, the estimated price of the Main Services is usually the amount calculated as “X times three", Where "X” is equal to the cost of materials. At the same time, it is assumed that the net working time for the provision of the Service will not exceed “X times twodivided into Minimum price for Related Services referred to in clause 4.13. Otherwise, each additional hour of work will be valued as Minimum Price for Related Services referred to in clause 4.13.

4.13 Related Services Price calculated individually depending on the complexity of the project and the remoteness and features of the assembly site. Minimum Price for Related Services is 60 euros per hour (without VAT).

4.14. All our Services are subject to 21% VAT.

4.15 Notwithstanding all of the above, the minimum overall price of Main services of any project is 150 euros (excluding VAT).

5. Provision of Services and Invoice.
5.1 The provision of the Services begins after Your acceptance of the Offer (during its validity period) and/or on the date agreed with you falling within the Tentative dates (period) for the commencement of work specified in the Offer - see clause 4.3.f.

5.2 The provision of the Services is accompanied, as necessary, by a final description / design / necessary documentation of the project. Also, the Provision of Services may be accompanied by additional unforeseen costs, which will be previously agreed with you.

5.3 The provision of the Services shall be completed within the period agreed with you in writing, but in the event of force majeure, within a period of up to plus three months from the period agreed with you.

5.4 FACTUAL Invoice. Shortly before the completion of our services to you, or immediately after, we will provide you with an Invoice. The invoice will include:
a) The final cost of materials;
b) The final cost of each actual Main Service with a brief individual description in
accordance with clauses 3.1 and 4.12
c) The final cost of each actual Related Service with a brief individual description in
accordance with clauses 3.3 and 4.13.
d) Other costs agreed with you actually incurred in connection with the provision of
the Services to you.
e) TOTAL (The total amount is the cost of everything).
f) Deduction the amounts of prepayments and Commitments actually paid, in
accordance with clauses 4.6, 4.7 and discounts (at our discretion).
g) Remainder to pay within 14 calendar days, unless otherwise specified in the
Invoice.
h) Payment details.

5.5 For small orders fully prepaid under the Offer, if TOTAL (Total amount - the cost of everything) does not differ from the amount of the Offer, the FACTUAL Invoice may not be provided, at your discretion.

5.6 Price increase. TOTAL (Total amount - the cost of everything (5.4.e)) may differ from the Offer by no more than + 20%, which includes the error in determining the preliminary volumes of working hours for the purposes of the Offer, but excludes additional costs agreed with you after the Offer. The increase in price can be more than 20% in the case of increase in the cost of materials after the date of the offer and/or in case of lengthy Additional Consultations on your initiative in accordance with clause 3.3.a. In the event of an Increase of more than +20%, we will provide you with a written justification for the Increase in price upon request.

6. Warranties and Modifications
6.1 We do not provide a Warranty on materials. However, we undertake to do everything in our power (reasonably and at no additional significant cost) to transfer your claim about materials to the supplier or manufacturer in the event of material claims. In the event that the supplier or manufacturer, within the framework of its warranty, provides us with any compensation, replacement or discount in response to a claim, we will transfer them in full to you.

6.2 Guarantees for our work (correction of our shortcomings and errors, damage during delivery and installation) and any Improvements not provided for by the Offer or the documentation accompanying the project (clause 5.2) are limited by a budget of 30% of the total invoice of your project. This budget includes working hours at the rate of 60 euros per hour and additional materials. All work under warranty above the specified limit have to be prepaid based on number of required working hours multiplied by Minimum price for Related Services (clause 4.13) and up to 3 months after the filing (acceptance) of claims under the Guarantee, subject to clause 6.3.

6.3 The term for filing (accepting) claims in accordance with clauses 6.1 and 6.2 is limited to 30 calendar days after the actual completion of the project or the date of the Invoice (whichever is later). Claims are accepted only in writing. If this deadline is not met, claims will not be accepted, or may be considered as a separate project, which may lead to the need to compensate for additional costs.

6.4 The Guarantee for our work may be denied if we reliably establish that the failure occurred due to your fault or the fault of third parties due to careless or improper use / operation / storage of furniture or products.

Data Privacy Policy
This Privacy Policy explains how we collect, use, share and protect your information when you use our services and the site.

Collection and use of data
We collect certain information necessary to provide our furniture assembly services. This information may include your name, address, contact details, and furniture ordering details. We use this data solely for the purposes of fulfilling orders, communicating with you and providing quality service, as well as reporting to tax and other government authorities on legal grounds. We store data on completed and non completed orders for up to 7 years.

Disclosure of data to third parties
We do not share your personal data with third parties without your consent, except as required by law. We may share certain information with our partners necessary to fulfill orders, such as the delivery of furniture or the provision of necessary materials.
Data protection
We take steps to ensure the security and protection of your data. We use available appropriate technical and organizational measures to prevent unauthorized access, loss, alteration or disclosure of your data. We use secure file hosting, cloud storage (such as Google Drive) and instant messengers.

Your rights
You have the right to request access to your personal data, correction of inaccuracies and deletion of information, if this is not contrary to applicable legal requirements. You can also revoke your consent to data processing at any time, on legal grounds.
